Terms of Service

1. Acceptance of Terms

By accessing or using SignLeaf ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

SignLeaf is an electronic signature platform that enables users to upload PDF documents, place signature fields, send documents to recipients for signing, and receive completed documents with cryptographic audit trails. The Service is designed for individuals and small-to-medium businesses.

3. Electronic Signatures and Legal Validity

SignLeaf facilitates electronic signatures intended to comply with the Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA). Under these laws, electronic signatures carry the same legal weight as handwritten signatures when the following conditions are met:

  • Intent to sign: The signer demonstrates clear intent to sign the document.
  • Consent to do business electronically: All parties consent to conduct the transaction electronically. SignLeaf presents an adoption consent disclosure to each signer before signature capture.
  • Association of signature with record: The electronic signature is linked to the document through our system of record, including field placement, timestamps, and signer identity.
  • Record retention: The signed document is retained and accessible to all parties.

Important: SignLeaf provides the technology infrastructure for electronic signatures. We do not provide legal advice. The enforceability of any specific document depends on applicable law, the nature of the transaction, and compliance with relevant regulations. Certain documents (such as wills, family law matters, court orders, and notices of foreclosure) may be excluded from electronic signature laws. Consult legal counsel for your specific use case.

4. User Accounts

To send documents for signing, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Document recipients (signers) do not need accounts. They access documents via unique, cryptographically generated access tokens delivered by email.

5. Document Handling and Storage

Documents uploaded to SignLeaf are stored securely using encrypted cloud storage. We generate SHA-256 cryptographic hashes of documents at upload and upon completion to provide tamper-evidence. All signature events are recorded in an append-only audit trail with hash chain integrity verification.

You retain all ownership rights to your documents. By uploading a document, you grant SignLeaf a limited license to store, process, and transmit the document solely for the purpose of providing the Service.

6. Acceptable Use

You agree not to use the Service to:

  • Upload or transmit documents containing illegal content
  • Forge signatures or misrepresent the identity of a signer
  • Send documents to recipients without their knowledge or consent
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service or its related systems
  • Use the Service for any purpose that violates applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these terms.

7. Audit Trail and Record Integrity

SignLeaf maintains a comprehensive audit trail for each document, recording events such as creation, delivery, viewing, signing, and completion. Each event is timestamped and linked to the previous event via a SHA-256 hash chain, providing cryptographic assurance of record integrity. A completion certificate is generated for each finalized document summarizing the full audit history.

8. Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by SignLeaf and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or branding. Your documents and content remain your property.

9. Limitation of Liability

To the maximum extent permitted by law, SignLeaf and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total aggregate liability for any claims arising from or relating to the Service shall not exceed the amount you paid to SignLeaf in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Termination

You may close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. We will retain your documents and audit records for a reasonable period to fulfill legal and compliance obligations, after which they will be permanently deleted.

12. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in San Francisco County, California.
